Dealers Den T&C

By registering as a Dealer or Dealer’s Assistant(s), you agree to comply with all relevant terms, conditions and policies provided to you in this document by the Dealers’ Den Team and Pride Unbound*London (hereby referred to as“the Convention”).

General

  1. To access the Dealers’ Den, the attendees must be fully registered, fully paid,  over the age of 18, and are required to present their badges to the Door Supervisors before entry if asked.
    • The Door Supervisors reserve the right to refuse entry to the Dealers’ Den.
    • Any failure to comply may result in the involvement of the Welfare Team.
    • Exceptions to this rule include organisations such as, but not limited to:
      • Phantom Peak and its Staff,
      • HMRC,
      • Trading Standards
      • Emergency Services,
      • Other relevant UK Government Bodies.
  2. The Convention reserves the right to refuse anyone Dealers space (this can include, but is not limited to Table(s), Stalls and Booths) for any reason.
  3. Dealers Den Management (hereby referred to as “DDM” and consists of the Head of the Dealers’ Den and the Deputies of the Dealers’ Den) reserves the right to prohibit the sale of any products or item(s) that are deemed inappropriate, illegal, unsafe or a risk to health, or in breach of these terms and conditions.
  4. DDM reserves the right to close down your Dealer space and/or actions that the Dealer must comply with. This will not entitle you to a refund or compensation.
  5. The Convention reserves the right to enforce the tear down of Dealers’ space if deemed unsafe or in breach of the conventions and Dealers’ Den’s terms and conditions.
  6. The Convention is only responsible for the provision of Dealer space and as such, not responsible for any commercial matters or disputes between Attendees, Dealers, Dealers’ Assistants and members of the Pride Unbound*London team.
  7. The DDM operates a zero-tolerance policy regarding abuse and inappropriate behaviour toward any Pride Unbound*London event participants. Any such incident may result in any and all participants being removed from the Dealers’ Den, this may result in further suspension from the Convention under review of the Pride Unbound*London Directorate without refund or compensation.
  8. Dealers maintain sole responsibility and liability to monitor, manage and secure their valuables and stock at all times. 
  9. The Convention accepts no liability for any loss/theft/damage unless caused through negligence of the Pride Unbound*London team.
  10. All Dealers’ property left in the Dealers’ Den is left at the Dealers’ own risk.
  11. Dealers are only permitted to conduct commercial/business transactions within the Dealers’ Den and nowhere else within the Convention premises and associated venue grounds, unless explicitly granted permission to do so by Pride Unbound*London’s Directorate. 
  12. If you are required to abandon your Dealers’ space, then refunds and/or compensation may be offered at the discretion of the DDM or Pride Unbound*London Directorate.
  13. Dealers are not permitted to resell their Dealers’ space. 
  14. Dealers can cancel their Dealers’ space registration by following the steps dictated in the Dealers’ Den Cancellation and Refund Policy. 
  15. Dealers must not sell items, articles, vouchers, or tokens that act as proxy items for a purchase that is considered an attempt to circumvent the prohibited item list.
  16. We strongly advise that all Dealers be ready, at their Dealers’ space for the initial opening of the Dealers’ Den timing to be confirmed. 
  17. Dealers must set up their Dealers’ space by no later than 15 minutes before the opening of the den, The DDM reserves the right to resell any unfulfilled space to other interested parties without prior notification.
  18. Dealers and Dealers’ Assistants MUST wear the respective Dealer or Dealer Assistant badge at all times whilst within the Dealers’ Den.
  19. Any and all walkways must be kept clear at all times. 
  20. Dealers may use the underside of their Dealers’ space for storage; all walkways, both in front and behind the tables, must not be obstructed in any way.
  21. Dealers should refrain from activities that may distract or disrupt any other Dealers.
  22. Dealers are responsible for the immediate area surrounding their Dealers’ space, Dealers must ensure this is kept tidy at all times and any rubbish is placed in the appropriate Dealers’ Den bins at the end of each day.
    • Dealers must remove all items in their Dealers’ space by close of play on the last day of Dealers’ Den, or risk having all items disposed of or donated to the Pride Unbound*London Yard Sale by the Convention team members.
  23. The use of photographic, audio and video equipment is strictly prohibited within the Den, unless with explicit permission at the discretion of the DDM or Pride Unbound*London Directorate. 
    • Dealers’ are permitted to take pictures of their own Dealers’ space but must ensure that other Dealers’ spaces are not visible.
  24. Fursuits are not allowed to be worn in the Dealers’ Den, this is due to safety reasons, exception of fursuit tails may be given at the sole discretion of the DDM.
    • However, the trying on of fursuit parts is permitted as long as it’s kept within the Dealers’ space or in front of, and with caution for surrounding attendees.
  25. The DDM, by extension, Pride Unbound*London and its members, are absolved of any and all liability in the event of a Dealer being found to be in breach of but not limited to, UK Law, regulations, and copyright infringements.
  26. Dealers’ must be aware of and manage their own copyright issues surrounding merchandise and products sold in the Dealers’ Den, as the Convention cannot be held liable and is unable to be involved or prevent Intellectual Property holders from entering, seizing, or issuing legal action against infringements.

Right to Access

  • The DDM will be considerate of Convention team members and Attendees with mobility issues, during set-up, tear-down and Den operational times.
  • Dealers and their Dealers’ Assistant(s) are permitted to be behind their Dealers’ space at any time during the operating hours of the Dealers’ Den.
  • Dealers and their Dealers’ Assistant(s) are permitted to access the areas between Dealers’ spaces using the appropriate walkways. 
  • Dealers and their Dealers’ Assistant(s) are permitted to circumvent the queue to enter the Dealers’ Den during operating hours, but must present their respective badges to Door Supervisors.
    • Please be aware that we monitor the use of Dealers’ Assistant badges and reserve the right to reclaim any badges that are being misused.
    • Misuse will be reviewed by the DDM and may result in suspension from the Dealers’ Den, and/or the Convention under review of the ConFuzzled Directorate, without refund or compensation.
  • No attendee(s) or Convention team member(s) are permitted to loiter behind any Dealers’ space or associated walkways without the permission of the Dealer, Dealers’ Assistant(s), and DDM with exception of:
    • Managers, 
    • Associate Managers, 
    • Dealers’ Den Crew, 
    • On-Duty Welfare Staff and Crew (in the event of a welfare incident),
    • Phantom Peak Staff, 
    • HMRC, Trading Standards and other appropriate UK Government Bodies,
    • Emergency Services.
  • No Convention team member is permitted to skip the queue to enter the Dealers’ Den unless explicit permission has been given by the DDM, with exception of:
    • Convention Staff Badge holders while performing Convention duties,
    • Dealers’ Den Crew,
    • On-Duty Welfare Crew (in the event of a welfare incident),
    • Phantom Peak Staff,
    • HMRC, Trading Standards and other appropriate UK Government Bodies,
    • Emergency Services.

Adult Materials

  • Adult-oriented materials can be sold and can be visible when shown to potential buyers.
  • Dealers should keep adult artwork out of sight, or discreetly within clearly marked folders hiding the content unless it is being viewed by a prospective customer. Where practical, separate adult and non-adult art folders would be appreciated.
  • The categories and items on the Prohibited Items list are not to be sold or made available for viewing within the Dealers’ Den and by extension anywhere else within the Convention premises and associated hotel/venue grounds.
    • Failure to comply with the decision will result in the Dealers’ space being repossessed and no refund given. It may be considered a bannable offence and could jeopardise the Dealers’ ability to trade in future years. Additionally, the incident will also be reported to Pride Unbound*London Directors for them to decide whether the offending parties are to be banned from any future Pride Unbound*London conventions.
  • Pornography, both still and moving, can not be sold at the convention

Prohibited Items:

  • Prohibited items are not permissible to be presented or reside anywhere within the Dealers’ Den.
  • If a dealer or attendee is found to have sold and delivered a prohibited item at the convention. It may be considered a bannable offence and could jeopardise the dealers’ ability to trade in future years. All participants involved will be removed from the Dealers’ Den, this may result in suspension from the Convention under review by the Pride Unbound*London Directorate without refund or compensation.

Dealers Registration

  • Attendees can register to participate in the Dealers’ Den as a Dealer or Dealers’ Assistant during the main registration process.
  • Dealers and Dealers’ Assistant(s) are not eligible for any privileges such as, but not limited to:
    • Being allowed to skip to the front of the registration queue(s) and Dealers’ Den set-up queue(s).
  • Dealer registrations operate on a first-fully paid and first-approved basis.
  • Registrations for Dealers’ Den space will close at a date published on the platforms mentioned below:
    • Pride Unbound*London Dealers’ Den Page
  • When registering to be a Dealer, you request a number of tables (hereby referred to as Dealer’ space).
  • When your registration is submitted, your requested Dealers’ space is reserved, and will only be confirmed upon completion of full payment for said Dealers’ space.The final payment deadline will be due two weeks after the close of Dealers’ Den registration as shown on the Pride Unbound*London Dealers’ Den Page. 
    • Failure to pay within this deadline will mark your Dealers registration as overdue and any reserved space will be repossessed.
  • If you wish to share a Dealers’ space with another Dealer, both parties must register and provide each other’s badge number.
    •  Dealers’ space includes, but is not limited to table(s), Stalls, and Booths.
  •  If no Dealers’ space is available you may be placed on a waiting list until such a time as a Dealers’ space or suitable alternative becomes available, which will be offered on a first come first serve basis in the order of the waiting list.
  • If you wish to be allocated a Dealers’ space near a fellow Dealer, you must notify us during the Convention registration process by providing their registered nickname and badge number in the Dealers Registration System via the main registration website platform. 
    • Please note that we try to allocate Dealers next to each other when requested by both parties as a priority. 

Responsibilities of the Dealers

  • Dealers are responsible for keeping the area(s) around their Dealers’ space clean and tidy at all times, ensuring that no food or drink is left at or around the Dealers’ space at the end of each operating day.
  • The use of photographic, audio and video equipment is strictly prohibited within the Dealers’ Den, unless with explicit permission at the discretion of the DDM or Pride Unbound*London Directorate. 
    • Dealers are permitted to take pictures of their own Dealers’ space but must ensure that other Dealers’ spaces are not visible.
  • Dealers are responsible for the safety of their property and equipment when the Dealers’ Den is in operation. Additionally, Dealers are responsible for ensuring their actions do not cause harm, endangerment or damage to other Dealers’ merchandise, Dealers, Assistants, Attendees, Venue Staff, and Convention team members.
  • Dealers are solely responsible for ensuring that they are adequately fed, hydrated, and maintain good hygiene.
  • Gambling is not permitted within the Dealers’ Den, however, raffles and Loot/Mystery Boxes are permitted, but must follow the guidelines as shown by the Gambling commission.gov.uk and Government response to the call for evidence on loot boxes in video games.
  • Food and beverages must not be sold within the Dealers’ Den.
    • Commercially sourced sweets are permitted to be given freely to attendees, however, they must not be sold.
  • Dealers are required to declare, and have any electrical items tested by a Pride Unbound*London approved and provided ‘PAT Tester’ when setting up their Dealers’ space. Dealers’ will not be allowed to take electrical items to their Dealers’ space until they have been tested.
  • Please make sure that the dealersden@prideunbound.uk email address is whitelisted and/or added to your email client/platform. 
    • We recommend you set up appropriate email filtering rules to prevent Dealers’ Den emails from being filtered, blocked or auto-deleted from your inbox.

Dealers’ Assistants

  • Dealers will be provided with a Dealers’ Assistant badge per confirmed table(s).
    • Dealers can choose a fully paid Attendee to be their Assistant(s).
  • If a Dealer requires additional assistance during your Set-up/Tear-down, they can request up to a maximum of 3 wristbands which are valid for those periods only.
  • Assistants MUST wear their Dealers’ Assistant Badge at all times within the Dealers’ Den, anyone not wearing these will be asked to leave the Dealers’ Den, and likely refused entry, repeat incidents may incur the following actions:
    •  The involvement of the Welfare Team.
    •  Review by the DDM and possible suspension from the Dealers’ Den, and/or the Convention under review of the Pride Unbound*London Directorate, without refund or compensation.
  • Dealers’ Assistants are only permitted to be within their respective Dealers’ space 
  • Dealers’ Assistants are NOT allowed to sell any merchandise of their own, they must go through the standard process to apply to be a Dealer, followed by arranging a Dealers’ space share through the Dealer Registration process. 
    • Failure to comply with this will result in the Dealers’ Assistant being told to remove the offending items OR the Dealers’ Assistant will be removed from the Dealers’ Den.

Copyrights and Patents

  • Items which depict the Pride Unbound*London name, Logo, or other company trademarks, cannot be sold unless written consent is given by Pride Unbound*London Directorate.
  • Items depicting copyrighted, but not limited to, characters, products, or trademarks cannot be sold unless the Seller can provide evidence of written permission, either by email or letter-headed paper from the rights holder, prior to the commencement of the Convention. 
  • If licensing is obtained, this MUST be in the legal name of the Dealer or in the Trading Name of the Dealer as it appears in Pride Unbound*London registration, should there be a discrepancy, the product(s) in question will be removed from sale, failure to comply may result in your Dealers’ space being shut down.
    • Dealers must manage their own copyright surrounding merchandise and products sold in the Dealers’ Den, as the Convention cannot be held liable nor prevent Intellectual Property holders from entering, seizing, or issuing legal action against infringements.
  • Dealers are wholly responsible and accountable for any and/or all actions raised by any organisations such as, but not limited to, Trading Standards, HMRC, HSE, and other IP holders, as part of these Terms and Conditions, and absolve Pride Unbound*London UK Ltd of any and all liability in relation to any matters raised by such bodies. Any persons found to be in breach of the above will be removed from the Dealers’ Den This will result in further suspension from the Convention under review of the Pride Unbound*London Directorate without refund or compensation.

Cancellation and Refund Policy

  • Dealers are entitled to cancel their Dealers registration with a full refund, within ONE WEEK (7 days) of their full payment for Dealers registration being received by Pride Unbound*London. 
    • If a Dealer wishes to cancel after this time, they will not be eligible for a refund, unless there are exceptional circumstances, and at the discretion of the DDM and/or the Pride Unbound*London Directorate.
  • If a Dealer wishes to cancel their Dealers registration they must email dealersden@prideunbound.uk. Please make sure to provide your badge number, registered Trading Name, and registered nickname.
  • If a Dealer wishes to cancel after the ONE WEEK (7 days) period as mentioned prior, they must submit an email to dealersden@prideunbound.uk, where the DDM will consider if they are eligible for a partial refund.
  • Pride Unbound*London cannot be held responsible for any force majeure circumstances, (including, but not limited to, acts of God, governmental authority, acts of war, or acts of terrorism) that may prevent the Convention from providing and/or operating the Dealers’ Den, in these circumstances, a refund cannot be guaranteed.
  • Pride Unbound*London reserves the right to cancel the Dealers’ Den and its services without warning. 
  • In the event that the Dealers’ Den is cancelled outside of force majeure circumstances, a full refund will be given to Dealers who have fully paid Dealers’ space table fees.
  • Failure to notify DDM of cancellations and/or non-attendance may jeopardise your eligibility to apply for Dealers’ space in future years.

Glossary

Attendees: Attendees are paying members of the current year’s event.

Dealers’ Assistants: These are paid attendees who have an Assistant Badge in their possession which was willingly given and approved by its associated Dealer.

Pride Unbound*London Team: This consists of the Staff, Crew and Volunteers for Pride Unbound*London UK Ltd.

Pride Unbound*London Directorate: This consists of the Directors, Associate Directors, and relevant department heads.

Convention: Pride Unbound*London UK Ltd

Dealer: A Dealer is a fully paid Attendee who has registered to trade in the Dealers’ Den.

Dealers’ Den Management: This consists of the Head and Deputies of the Dealers’ Den.

Dealers Den Team: This consists of the Head, Deputies and Crew of the Dealers’ Den.

Force Majeure: Is a clause in contracts which essentially releases both parties from any liability or obligation when an extraordinary event or circumstance beyond the control of the parties, such as war, strike, riot, crime, epidemic or sudden legal change prevents one or both parties from fulfilling their obligations under the contract. 

HMRC: This stands for His Majesty’s Revenue and Customs which is a non-ministerial department of the UK government responsible for Taxes, customs duty, excise duties, anti-money laundering, etc. 

IP: This stands for intellectual property and refers to creations of the mind, such as inventions; literary and artistic works; designs; symbols, names and images used in commerce.

IP Holder: An IP Holder means each seller, or the acquired companies, and any other subsidiary of Public Key Infrastructure that has an ownership interest in any Transferred Intellectual Property.

Seller: This includes anyone conducting DDM-approved business and commercial transactions within the Dealers’ Den.

Trading Name: This is the name of the business that a Dealer registered with.

Trading standards: These are local authorities who use the information to investigate unfair trading and illegal business activity, like rogue traders, scams, and copyright infringement.

Welfare Team: The Welfare Team consists of two departments; Medical and Security. Which are overseen by their respective Heads and Deputies of departments. These teams also consist of crew members who are trained and qualified in the areas they manage.
